TERMS OF SERVICE

1. AGREEMENT TO TERMS

By accessing or using services provided by GogoIT Inc. ("GogoIT," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use our services. These terms apply to all visitors, users, and clients who access or use our services.

2. DESCRIPTION OF SERVICES

GogoIT provides AI-powered business automation systems including, but not limited to: AI phone agents, SMS and text automation, email automation, AI webchat, video content production, reputation management, social media management, analytics and reporting, and centralized dashboard access. All systems are custom-configured for each client's business.

3. CLIENT RESPONSIBILITIES

You are responsible for providing accurate business information needed to configure your systems. This includes service descriptions, pricing, business hours, contact information, brand assets, and any other materials requested during onboarding. You are responsible for reviewing and approving all content (including video, email, and SMS content) before it is published or distributed on your behalf.

4. PAYMENT TERMS

Service fees are billed monthly in advance. Payment is due upon receipt of invoice. GogoIT reserves the right to suspend services for accounts that are more than 15 days past due. Pricing is subject to change with 30 days written notice. Any additional services or customizations beyond the agreed scope will be quoted separately.

5. CONTENT AND INTELLECTUAL PROPERTY

Content created by GogoIT on your behalf (including videos, copy, and graphics) is licensed for your business use upon payment. You retain ownership of all business data, contact lists, and proprietary information you provide. GogoIT retains ownership of its proprietary systems, software, workflows, templates, and AI models. You grant GogoIT permission to use your business name and general description of services rendered for portfolio and marketing purposes, unless you opt out in writing.

6. AI-GENERATED CONTENT DISCLAIMER

Our systems use artificial intelligence to generate content including phone conversations, text messages, email copy, video scripts, and chat responses. While we configure these systems to accurately represent your business, AI-generated content may occasionally contain errors or inaccuracies. You are responsible for reviewing and approving content before publication. GogoIT is not liable for claims arising from AI-generated communications that were approved by the client.

7. DATA PRIVACY AND SECURITY

GogoIT takes data security seriously. We implement industry-standard security measures to protect your business data and your customers' information. We do not sell or share your data with third parties except as necessary to provide our services (e.g., SMS delivery providers, email service providers). We comply with applicable data protection laws including CCPA. For detailed information, please contact us.

8. THIRD-PARTY SERVICES

Our systems may integrate with third-party platforms and services including, but not limited to: telephony providers, SMS gateways, email delivery services, social media platforms, calendar systems, and review platforms. GogoIT is not responsible for the availability, terms, or policies of third-party services. Usage of third-party services is subject to their respective terms and conditions.

9. SERVICE LEVEL AND UPTIME

GogoIT strives to maintain high availability of all systems. However, we do not guarantee 100% uptime. Scheduled maintenance will be communicated in advance when possible. GogoIT is not liable for service interruptions caused by third-party providers, internet outages, or force majeure events.

10. CANCELLATION AND TERMINATION

Either party may terminate services with 30 days written notice. Upon cancellation, GogoIT will provide an export of your business data and contact lists upon request. Access to the dashboard and all automated systems will be deactivated at the end of the billing period. There are no early termination fees or long-term contracts unless otherwise specified in a separate written agreement.

11. LIMITATION OF LIABILITY

GogoIT's total liability for any claims arising from or related to our services shall not exceed the total amount paid by the client in the three months preceding the claim. GogoIT is not liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost profits, or loss of data.

12. INDEMNIFICATION

You agree to indemnify and hold GogoIT harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, your violation of these terms, or any content you approve for publication through our systems.

13. MODIFICATIONS TO TERMS

GogoIT reserves the right to modify these terms at any time. Changes will be communicated via email to active clients at least 15 days before taking effect. Continued use of our services after changes take effect constitutes acceptance of the updated terms.

14. GOVERNING LAW

These terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these terms shall be resolved in the courts of Los Angeles County, California.
