Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "User," "you," or "your") and GogoIT, Inc. ("GogoIT," "Company," "we," "our," or "us") governing your access to and use of the GogoIT software-as-a-service platform, including all related websites, dashboards, automation systems, artificial intelligence tools, generated content, integrations, documentation, features, and related services (collectively, the "Platform").

By accessing, registering for, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Platform.

If you enter into a separate written agreement with GogoIT (including an enterprise or brokerage agreement), such agreement shall control in the event of a conflict with these Terms.

0. Definitions

For clarity, the following terms apply:

1. Acceptance and Scope

These Terms apply to all Customers and Users who access the Platform through provisioned accounts. You represent and warrant that you have the authority to bind any entity you represent to these Terms.

The Platform is licensed, not sold. No ownership rights are transferred to you under these Terms.

You must be at least 18 years old and able to form a binding contract to use the Platform.

2. Description of Services

GogoIT provides a subscription-based marketing automation and content production platform designed for real estate professionals and brokerages. The Platform utilizes proprietary workflows, automation systems, artificial intelligence technologies, and Third-Party Services to generate and distribute marketing content, including but not limited to:

No Professional Advice. GogoIT is not a real estate brokerage, advertising agency of record, MLS compliance advisor, legal consultant, or tax/financial advisor. You are solely responsible for how you use the Platform and for ensuring compliance with all applicable laws and regulations.

3. Accounts, Access, and Security

3.1 Account Responsibility

You are responsible for all activity occurring under your account(s), including actions taken by authorized users, staff, contractors, or anyone you provide access to.

3.2 Credential Sharing

You may not share login credentials, resell access, or provide multi-user access under a single-seat plan unless explicitly permitted in your plan or Order Form.

3.3 Security and Incidents

You must promptly notify GogoIT of any suspected unauthorized access. We may suspend access to protect the Platform, your account, or other users.

3.4 Provisioning and Verification

We may require identity, brokerage affiliation, payment verification, or other information to provision or maintain accounts, prevent fraud, or meet compliance obligations.

3.5 Authorized Users and Seats

3.5.1 "Authorized Users" means your employees, contractors, agents, and other individuals who you expressly permit to access and use the Platform under your account or workspace.

3.5.2 Your subscription may limit the number of Authorized Users ("Seats"). A Seat is assigned to a unique user and is not intended to be shared. You must maintain accurate seat assignments and ensure usage does not exceed plan limits.

3.5.3 Certain users may be granted administrator privileges. You are responsible for designating administrators and for all actions taken by them.

3.5.4 You are responsible and liable for all access and use by your Authorized Users, including their compliance with these Terms and any content they upload, generate, schedule, publish, or distribute.

3.5.5 You are responsible for promptly removing access for Authorized Users who no longer require it. GogoIT may suspend or restrict access if unauthorized access is reasonably suspected.

4. License Grant and Restrictions

4.1 Limited License

Subject to your compliance with these Terms and payment of applicable Fees, GogoIT grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform solely for your internal business purposes during your active subscription period.

4.2 Platform Intellectual Property

All rights, title, and interest in and to the Platform remain the sole and exclusive property of GogoIT and its licensors, including without limitation:

5. Customer Responsibilities

You are solely responsible for:

The Company does not independently verify listing data or regulatory compliance.

6. Artificial Intelligence and Automation

The Platform utilizes artificial intelligence and automated systems that may generate content based on user inputs and Third-Party Services.

You acknowledge that:

GogoIT shall not be liable for errors, omissions, or regulatory consequences arising from AI-generated materials.

7. Data, Privacy, and Customer Content Rights

7.1 Customer Data Ownership

You retain ownership of Customer Data you upload to the Platform.

7.2 License to Operate

By submitting Customer Data, you grant GogoIT a worldwide, non-exclusive license to host, store, copy, process, transmit, and display Customer Data solely to provide, secure, support, and improve the Platform and to generate and deliver Generated Content.

7.3 Generated Content Rights

As between you and GogoIT, you may use Generated Content for your internal business marketing purposes during your subscription, subject to these Terms, Third-Party Services terms, platform rules, and MLS and brokerage compliance requirements.

7.4 Warranties

You represent and warrant that you own or have lawful rights to use all Customer Data you provide, including logos, photos, videos, music, voice recordings, and likeness rights, and that your use will not violate any third-party rights.

7.5 Privacy

Use of personal data is governed by the GogoIT Privacy Policy.

8. Third-Party Platforms and Integrations

The Platform may integrate with Third-Party Services including social media platforms, MLS and IDX systems, data providers, cloud storage services, and AI providers.

GogoIT does not control Third-Party Services and is not responsible for account suspensions or bans, algorithm changes, service interruptions, third-party data inaccuracies, or changes to external policies or pricing. Your use of Third-Party Services is governed by their respective terms.

9. Messaging, Texting, and Communications (TCPA)

If the Platform enables SMS or messaging notifications, whether directly or through Third-Party Services, you represent and warrant that you will obtain any required consents including opt-in where required, will comply with applicable messaging laws including the TCPA, and will honor opt-out requests promptly.

GogoIT is not responsible for your consent practices or compliance failures.

10. Subscription, Billing, and Payment

Access to the Platform is provided on a recurring subscription basis unless otherwise stated in an Order Form.

Subscriptions automatically renew unless canceled prior to the renewal date. By subscribing, you authorize recurring charges to your payment method.

Failure to remit payment may result in suspension or termination. GogoIT reserves the right to adjust pricing upon renewal with reasonable notice.

11. Plan Limits, Fair Use, and Usage Controls

Plans may include limits such as seats, storage, number of renders, AI or voice usage, exports, scheduling volume, or other consumption-based limits described in the Platform or Order Form.

If you exceed plan limits, GogoIT may, in its discretion:

You agree not to use the Platform in a manner that imposes unreasonable load, attempts to bypass limits, or interferes with Platform stability. Additional Seats may require an upgrade or additional Fees.

12. Cancellation Policy

You may cancel your subscription at any time through your account dashboard or by written notice to GogoIT.

Cancellation prevents future billing, does not entitle you to a refund for the current billing cycle, and allows continued access through the end of the paid term.

Brokerage and enterprise agreements may include separate cancellation provisions.

13. Refund Policy

All subscription fees are non-refundable once billed.

Due to the immediate commencement of digital services and automated production processes, refunds are not provided for partially used billing periods, delivered digital content, completed production work, or prior billing cycles.

Claims of billing error must be submitted within seven (7) days of the charge. Any refund issued shall be at GogoIT's sole discretion.

14. Service Availability, Maintenance, and Changes

14.1 Maintenance and Updates

GogoIT may perform scheduled or emergency maintenance that may temporarily limit access. We may update, modify, or discontinue features at any time, including changes driven by Third-Party Services, platform policies, or security requirements.

14.2 Feature Availability

Not all features are available on all plans or in all regions. Feature sets may vary and may change over time.

14.3 No Guaranteed Results or Uptime Commitment

Unless expressly stated in an Order Form, GogoIT does not provide a service level agreement or uptime guarantee. The Platform is provided "as is" and "as available."

14.4 Service Credits

If GogoIT elects to offer service credits for downtime or service degradation, such credits will be your sole and exclusive remedy for those issues, and will be offered only at GogoIT's discretion unless otherwise required by law or stated in an Order Form.

15. Data Storage, Retention, and Deletion

15.1 Storage and Retention

The Platform may store Customer Data and Generated Content for account functionality. Storage durations may vary by plan and system requirements.

15.2 Post-Term Retention

After cancellation or termination, we may retain Customer Data and Generated Content for a limited period for backup, legal, fraud prevention, dispute resolution, or operational purposes, after which we may delete it in our discretion unless legally required to retain it longer.

15.3 Backups and Recovery

We maintain operational backups, but we do not guarantee restoration of specific data or content after deletion, plan downgrade, cancellation, or termination.

16. Representations and Warranties

You represent and warrant that you possess all required licenses and approvals, your use of the Platform will comply with law and Third-Party Services terms, and you will not use the Platform to create unlawful, misleading, discriminatory, or infringing content.

GogoIT warrants that it has the authority to provide the Platform under these Terms. Except as expressly stated herein, the Platform is provided "as is" and "as available."

17. Disclaimer of Warranties

To the maximum extent permitted by law, GogoIT disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. GogoIT does not warrant that the Platform will be uninterrupted, error-free, secure, or produce specific business results.

18. Limitation of Liability

To the fullest extent permitted by law, GogoIT shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost commissions, loss of data, reputational harm, or regulatory penalties. GogoIT's aggregate liability shall not exceed the total Fees paid by you in the three (3) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations; in such cases, liability will be limited to the maximum extent permitted by law.

19. Indemnification

You agree to indemnify and hold harmless GogoIT and its affiliates, officers, directors, employees, and contractors from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Platform, your breach of these Terms, your Customer Data or Generated Content as published or used by you, regulatory violations, or third-party disputes related to your content.

20. Confidentiality

Each party may have access to non-public proprietary information ("Confidential Information"). You acknowledge that the Platform and its underlying methodologies constitute Confidential Information of GogoIT.

You agree not to disclose or use Confidential Information except as necessary to use the Platform and to protect it using at least reasonable care.

21. Feedback

If you provide suggestions, ideas, or feedback, you grant GogoIT a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate it into the Platform without obligation or compensation.

22. IP Complaints, Takedowns, and Repeat Infringers

If you believe content on the Platform infringes your intellectual property rights, you may submit a written notice to support@gogoit.com with sufficient detail to identify the content and your claim.

We may remove or disable access to content and may terminate repeat infringers in appropriate circumstances. Nothing in this section creates an obligation for GogoIT to monitor content.

23. Suspension and Termination

GogoIT may suspend or terminate your access immediately upon breach of these Terms, non-payment, suspected fraud, security risk, or if required by law.

Termination does not relieve you of payment obligations accrued prior to termination and does not entitle you to a refund.

Sections intended to survive termination shall survive, including confidentiality, IP ownership, disclaimers, limitations of liability, indemnification, and dispute resolution.

24. Publicity

Unless otherwise agreed in writing, GogoIT may identify you as a customer and use your business name or logo for marketing purposes.

If you prefer not to be listed, you may opt out by written notice to support@gogoit.com and we will make commercially reasonable efforts to honor the request going forward.

25. Dispute Resolution, Arbitration, and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. It affects your legal rights, including your right to file a lawsuit in court.

25.1 Informal Resolution First

Before initiating arbitration, you agree to contact GogoIT at support@gogoit.com with a brief written description of the dispute and your requested relief. The parties will attempt to resolve the dispute informally in good faith.

25.2 Binding Arbitration

Except for claims eligible for small claims court, any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by JAMS under its then-current rules.

25.3 Location

Arbitration shall take place in Los Angeles County, California, unless the parties agree otherwise or the arbitrator determines a different location is required by law.

25.4 Small Claims Carve-Out

Either party may bring an individual claim in small claims court so long as the claim remains in small claims court and proceeds only on an individual basis.

25.5 Class Action Waiver

You and GogoIT agree that all claims must be brought on an individual basis. Neither party may bring a claim as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

25.6 Jury Trial Waiver

You and GogoIT waive the right to a jury trial.

25.7 Arbitration Fees

JAMS fees will be allocated in accordance with JAMS rules, except where prohibited by law. The arbitrator may award fees and costs as permitted by applicable law.

25.8 Opt-Out Right

You may opt out of this arbitration provision by sending written notice to support@gogoit.com within thirty (30) days of first accepting these Terms. Your notice must include your name, account email, and a clear statement that you wish to opt out. Opting out will not affect any other provisions of these Terms.

25.9 Severability

If any portion of this Section 25 is found unenforceable, that portion shall be severed and the remainder shall remain in effect. If the class action waiver is found unenforceable, the entire arbitration provision shall be null and void and the dispute shall proceed in court.

26. Export Controls and Sanctions

You may not use the Platform if you are located in, under the control of, or a national or resident of any country subject to U.S. embargo, or if you are on any U.S. government restricted party list, or if your use would violate applicable export control or sanctions laws.

27. Independent Contractor Relationship

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and GogoIT.

28. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles, except that the Federal Arbitration Act governs the interpretation and enforcement of Section 25.

29. Miscellaneous

29.1 Changes to Terms

We may update these Terms from time to time. Updated Terms become effective upon posting or as otherwise stated. Continued use after changes constitutes acceptance.

29.2 Notices and Electronic Communications

You consent to receive communications electronically, including email, dashboard notices, and in-app messages. Notices are effective when sent.

29.3 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.

29.4 Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control, including outages of Third-Party Services, internet failures, cloud provider disruptions, labor disputes, and acts of God.

29.5 Severability

If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

29.6 No Waiver

Failure to enforce any provision shall not constitute a waiver.

29.7 Entire Agreement

These Terms and any referenced policies and Order Forms constitute the entire agreement regarding the Platform.

Appendix A

MLS, IDX, Advertising, and Fair Housing Compliance

Appendix A Effective Date: February 24, 2026. This Appendix A forms part of the GogoIT Terms of Service. Capitalized terms not defined here have the meanings set forth in the Terms.

A.1 Purpose and Scope

GogoIT provides a marketing automation and content production platform that may generate scripts, captions, video, audio narration, thumbnails, and other materials ("Generated Content") based on Customer inputs and, where applicable, third-party data sources. This Appendix establishes compliance responsibilities related to MLS, IDX, brokerage policies, real estate advertising rules, and fair housing laws.

A.2 Customer Sole Responsibility for Compliance

You are solely responsible for ensuring that your use of the Platform and any Generated Content complies with all applicable requirements, including MLS rules, IDX or VOW requirements if applicable, brokerage branding and advertising requirements, state and federal advertising laws, and fair housing laws and regulations.

GogoIT does not provide legal, compliance, or brokerage supervision services and does not guarantee that Generated Content is compliant for your jurisdiction, MLS, brokerage, or advertising channel.

A.3 MLS and IDX Data Permissions and Display Rules

If you use MLS or IDX-sourced data, you represent and warrant that you have all required permissions, licenses, approvals, and agreements to access and use such data and that your use will comply with applicable display, attribution, update frequency, and content rules imposed by the relevant MLS or IDX provider.

GogoIT is not affiliated with, endorsed by, or acting on behalf of any MLS unless explicitly stated in a separate written agreement.

A.4 Advertising and Licensing Disclosures

You are responsible for ensuring that Generated Content includes any disclosures required by law, MLS rules, or your brokerage, which may include agent and brokerage identifiers, license numbers, office address, Equal Housing Opportunity statements or marks where required, and any other mandated jurisdictional disclosures.

GogoIT may provide optional fields or templates to assist, but you are responsible for correctness, completeness, and placement.

A.5 Fair Housing Compliance and Content Restrictions

You agree not to use the Platform to create, publish, or distribute content that violates fair housing laws or that could reasonably be interpreted as discriminatory, exclusionary, or indicating a preference based on a protected characteristic.

You are responsible for reviewing Generated Content before publication and for removing or modifying content that could pose fair housing risk.

A.6 Prohibited and High-Risk Content Examples

Examples of content that may create compliance risk include statements implying preference for or against a protected class, familial status exclusions such as "adults only" or "no kids" unless lawfully permitted, and language suggesting discriminatory targeting.

A.7 Review, Approval, and Recordkeeping

You are solely responsible for reviewing and approving Generated Content prior to posting, confirming listing facts and status, maintaining any records required by your brokerage, MLS, or regulator, and ensuring postings align with platform-specific rules.

A.8 Enforcement, Takedown, and Suspension

GogoIT may, but is not obligated to, remove, disable, or restrict access to content or features if we reasonably believe the content violates these Terms or creates material legal or compliance risk, or if we receive a complaint, notice, or request from a third party.

A.9 No Liability for Compliance Outcomes

To the fullest extent permitted by law, GogoIT disclaims liability for compliance failures, regulatory enforcement actions, MLS penalties, platform penalties, fines, or disputes arising from your publication or use of Generated Content.
